Definition
The Director Identification Number (DIN) is a unique, permanent 8-digit numeric identifier assigned by the Ministry of Corporate Affairs (MCA) to any individual who is appointed or intends to be appointed as a director of a company in India. Introduced under Section 153 of the Companies Act, 2013, the DIN system was created to establish a database of directors and track their involvement across multiple companies. A single DIN serves for all directorships held by an individual, meaning a person does not need a separate DIN for each company in which they serve as director.
To obtain a DIN, an individual must file Form DIR-3 on the MCA portal, providing personal details including name, date of birth, PAN, Aadhaar, nationality, educational qualifications, and residential address, along with identity and address proof documents. For first-time directors being appointed during company incorporation, the DIN is allotted through the SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus) form itself. The DIN is allotted within a few days of filing if all documents are in order. Each individual can hold only one DIN, and obtaining multiple DINs is a punishable offense under the Companies Act.
The DIN carries significant regulatory implications for directors. It is linked to all MCA filings and is used to track a director's compliance history across companies. If a company in which a person serves as director fails to file its Annual Return or financial statements for three consecutive years, the director's DIN can be deactivated under Section 164(2) of the Companies Act, effectively disqualifying them from being appointed as a director in any company for five years. Directors must also file Form DIR-3 KYC annually by September 30 to keep their DIN active. Failure to file DIR-3 KYC results in the DIN being marked as "Deactivated" with a penalty of Rs. 5,000 for reactivation.
