Contracts upload to the counterparty record. Effective date, expiry date, auto-renewal flag, payment terms and SLA terms tag at upload time.

Versioning across amendments

Addendums and amendments stack on the parent contract with version history preserved. The current version surfaces by default; the legal team drills back to any prior state.

Renewal and expiry calendar

Auto-renewal flags surface 60 days before. Expiry-without-renewal surfaces 30 and 7 days before. Procurement and the counterparty owner get reminders.

Step 04

Clause-level search

Full-text search returns the clause and the file. "Limitation of liability" returns the matching clause across every active contract with the source file linked.

Yes. Auto-renewal flags surface 60 days before the renewal date. Procurement and the contract owner get reminders. The cancellation window is computed from the contract terms; the system surfaces the deadline-to-cancel.

How does clause-level search work for legal review?

Full-text search returns the matching clause with the surrounding context. "Indemnity cap" finds every contract where the cap is mentioned, the value, and a link to the file at that page. Legal teams use this to bulk-review caps when a new policy comes in.

Can third-party signatures (DocuSign, ePadlock) be captured here?

Yes. Signed contracts from any e-sign platform upload to the counterparty record with the signing certificate metadata preserved. The audit trail surfaces who signed when, regardless of the signing platform.
