DIR-3 KYC is the KYC filing every Director Identification Number (DIN) holder makes with the Ministry of Corporate Affairs. As of September 2026, it is filed in DIR-3 KYC Web once every three financial years, by 30 June. Miss it and the DIN is deactivated, and the company finds out when its AOC-4 cannot be signed.
In OneFinOps, every director’s DIN and last-KYC date sit on one director master, so the due date is tracked before anyone has to remember it.
Key takeaways
- From 31 March 2026, DIN holders file KYC once every three financial years.
- Most existing directors are next due by 30 June 2028.
- On time is free. Late filing or reactivation costs ₹5,000; each change, ₹500.
Is DIR-3 KYC required every year?
No. The Companies (Appointment and Qualification of Directors) Amendment Rules, 2025 (Notification G.S.R. 943(E) dated 31 December 2025) amended Rule 12A. From 31 March 2026, KYC is due once every three consecutive financial years, by 30 June, in DIR-3 KYC Web only. DSC and professional certification are needed only when updating mobile, email or address.
Every individual holding a DIN as on 31 March files, including resigned directors who still hold a DIN. If KYC is not filed, the MCA deactivates the DIN: the person cannot be appointed as a director, and the DIN cannot sign AOC-4, MGT-7 or DIR-12. Reactivation needs a DIR-3 KYC Web filing with a flat ₹5,000 fee.
DIR-3 KYC due date
| Your situation | Next DIR-3 KYC due |
|---|---|
| Completed KYC under the old rules (up to FY 2025-26) | By 30 June 2028 (MCA / PIB release) |
| DIN allotted during FY 2025-26 | 30 June 2029, as commonly read by practitioners |
| Mobile, email or residential address changed | Within 30 days of the change (₹500 per filing) |
| DIN already deactivated for non-filing | File now with ₹5,000 to reactivate |
Confirm the date shown against your DIN on the MCA V3 portal. The old 30 September 2026 due date no longer exists.
Worked example. Karan misses June 2028 and reactivates his DIN in October 2028 for ₹5,000. His company’s AOC-4, due 29 October 2028, goes in 12 days late: ₹1,200 more at ₹100 per day. One missed KYC costs ₹6,200.
How to file DIR-3 KYC Web
- Keep your DIN, PAN, personal mobile, email and residential address ready.
- Log in to the MCA V3 portal with the director’s own user ID and open DIR-3 KYC Web.
- Check the pre-filled details and verify with OTPs to your mobile and email.
- If changing details, sign with your DSC and have a practising CA, CS or CMA certify.
- Pay any fee (₹500 for a change, ₹5,000 for late filing or reactivation).
- Submit, save the SRN, and check that the DIN shows as active.
How OneFinOps handles DIR-3 KYC
The director master holds DIN, mobile, email and last-KYC date for every director across every entity, and the compliance calendar carries each next due date with rolling reminders. The Tax Agent tracks every obligation to its due date. It does not file for the director: every filing goes to the preparer and reviewer named on the obligation, and the OTPs and DSC stay with the director. Unlike a reminder list kept apart from the books, the director master feeds the same record as your AOC-4 and MGT-7, so a lapsed DIN shows up against the filings it would block.
